Terms of Service
These draft terms outline the intended business rules for accessing the LeaseFlow application and public website.
1. Agreement and eligibility
The final terms must identify the contracting business, effective date, eligible customers, authority to accept on behalf of an operating company, and any geographic restrictions.
2. LeaseFlow service
LeaseFlow provides software for organizing operational records, including company hierarchy, gauges, production calculations, run tickets, well tests, events, targets, and related account data. Product features may change as the service develops.
3. Operational responsibility
LeaseFlow is a recordkeeping and calculation tool. It does not replace field observations, qualified engineering or accounting judgment, regulatory reporting obligations, safety procedures, measurement verification, or review of source documents. Customers remain responsible for verifying entries, calculations, equipment conditions, and operational decisions.
4. Accounts and authorized users
Account owners are responsible for accurate registration information, credential security, authorized-user access, and activity conducted through their account. Final terms must describe supported user roles and any field-user assignment model available at launch.
5. Subscription and well capacity
The current intended standard package is $99 per month for 50 wells under one operating company. Additional capacity is sold in 50-well increments. Final pricing, taxes, renewal, proration, downgrade timing, refund rules, trials, and cancellation language must be confirmed before launch.
6. Acceptable use
Customers must not misuse the service, interfere with its operation, attempt unauthorized access, upload unlawful material, misrepresent authority, circumvent package limits, or use the service to violate applicable law or third-party rights.
7. Customer data and exports
Customers retain responsibility for the operational information they enter and for reviewing exports before relying on or sharing them. The final terms must address licenses needed to process customer data, retention, account closure, restoration limitations, and responsibility for maintaining independent records where required.
8. Availability and changes
Online services may experience maintenance, provider outages, connectivity problems, or errors. Any service-level commitment, support promise, maintenance notice, warranty disclaimer, or discontinuation right must be finalized through legal review.
9. Intellectual property
The final terms must identify ownership of LeaseFlow software, branding, documentation, feedback, and customer-provided materials, along with the limited rights granted to subscribers.
10. Disclaimers, liability, and disputes
Warranty disclaimers, liability limitations, indemnity, governing law, dispute resolution, notice procedures, and any arbitration or class-action terms require jurisdiction-specific legal drafting and are intentionally not supplied in this initial draft.
